Enbridge Energy Management, L.L.C. (Enbridge Management) is a limited partner in Enbridge Energy Partners, L.P. (the Partnership) through ownership of i-units, a special class of the Partnership's limited partner interests. The Company manages the Partnership's business and affairs under a delegation of control agreement, the Partnership and its general partner, Enbridge Energy Company, Inc. (the General Partner). The General Partner is an indirect, wholly owned subsidiary of Enbridge Inc. (Enbridge), an energy company located in Calgary, Canada. As of December 31, 2007, Enbridge Management owned an approximate 14.7% and 16% limited partnership interest of the Partnership, respectively. At December 31, 2007, the General Partner owned 100% voting shares, as well as 17.2% Listed Shares, while the remaining 82.8% Listed Shares were held by the public.
